The Reserve Bank of India (RBI) has given final clearance for Emirates NBD Bank P.J.S.C. to merge its Indian operations with RBL Bank Ltd, with the consolidation becoming official on December 1, 2026. Starting that date, all Emirates NBD branches in India will transition to operating under RBL Bank’s name.
This regulatory green light represents a key step in Emirates NBD’s Indian market strategy, coming just months after the bank secured majority ownership of RBL Bank in June. The merger was authorized under Section 44A(4) of the Banking Regulation Act, 1949.
Emirates NBD finalized its majority stake purchase in RBL Bank on June 18, 2026, injecting approximately $2.75 billion (₹26,000 crore) through a capital infusion. This transaction granted the UAE-based financial institution a 60% equity share in RBL Bank’s expanded capital structure.
The capital investment and branch integration represent distinct phases of the overall transaction. While the equity injection was completed in June, the physical consolidation of Indian branches will occur in December. Emirates NBD currently maintains three Indian locations in Mumbai, Chennai, and Gurugram.
Earlier this year, the Competition Commission of India (CCI) confirmed on January 20, 2026 that the proposed merger would include transferring these branches to RBL Bank while maintaining ongoing operations. The CCI had already approved the combination on that date.
The regulatory approval encompassed Emirates NBD’s planned acquisition of between 51% and 74% of RBL Bank’s shares through both preferential allotment and mandatory open offer mechanisms, alongside the branch amalgamation. RBL Bank confirmed on May 15, 2026 that it had obtained all necessary government and regulatory approvals for the transaction, which was finalized in June.
The RBI’s October 16 approval of the merger scheme now establishes December 1, 2026 as the implementation date for branch consolidation.
For RBL Bank, the infusion provides key capital to fuel expansion plans, while Emirates NBD gains operational control over a significant Indian banking presence. Beginning December 1, the three Emirates NBD branches will operate exclusively under RBL Bank’s brand identity, effectively transferring the UAE bank’s Indian branch network to its Indian partner. This structural change is intended to enhance RBL Bank’s competitive position in the domestic market.
